A buyer usually already has legal and financial advisers and an independent engineer for resource and technology. What tends to be less covered is execution: whether the seller's CAPEX and schedule hold up to a construction review, whether permits and grid connection are as mature as the data room says, and what could delay commercial operation. That is where we focus.
Our view
- 01
We read the project as if we had to build it. The risk of an asset in development usually lies in execution more than in technology.
- 02
A risk with no effect on price or timetable is of no use to the buyer. Each finding carries its estimated effect and the measure we propose, whether a condition, a price adjustment or a guarantee.
- 03
We fit the transaction timetable. First we flag what could stop the deal, then the rest.
What we deliver
We work on the data room and, where needed, with a site visit and interviews with the seller's team.
- A review of the project's execution risk and constructability.
- A check of the seller's CAPEX and schedule.
- The maturity of land, permits and grid connection, with their milestones and expiry dates.
- The causes of deviations already incurred, if the project is under construction.
- A report with the risks ranked by impact and the conditions we propose for the acquisition.
Agents and tailored tools
Where the transaction justifies it, an agent reads the data room, classifies the documents, checks that every document required by each permit and contract is there and flags contradictions between them, citing the document and page. The conclusions and the report are signed by a person.
How we work
- For whom: funds, IPPs and platforms that buy, sell or refinance projects and portfolios.
- Scope: a project, a portfolio or a quick red-flag review before an offer.
- Timing: the transaction's. We agree it when we receive access to the data room.
- Coordination: with the buyer's legal and financial advisers and the independent engineer, without duplicating their work.
